Ms. Daltons experience as an attorney includes work as a corporate attorney in New York City, several years with a large well-known Albany law firm and several years as a practitioner in Saratoga Springs, New York.
Ms. Dalton began as an associate with Thacher Proffit & Wood, a firm of over 200 lawyers, in New York City in 1986, having graduated cum laude from Villanova University Law School. After several years with TP& W, Ms. Dalton worked as a senior corporate associate with Fox, Horan & Camerini, an international firm that represents public and private companies and high-net-worth individuals on legal matters in the United States and abroad. During her years as a corporate lawyer in New York City, Ms. Daltons experience primarily focused on mergers and acquisitions, joint ventures, entrepreneurial enterprises, financing arrangements, private placements, shareholder and partnership agreements and drafting and negotiating commercial contracts, including distribution, franchise, and technology licensing agreements. Having served as general counsel to corporations, Ms. Dalton has drafted and negotiated a multitude of form contracts such as employment contracts, confidentialty agreements, options, invoices, purchase orders, lease agreements, construction contracts and stock purchase agreements, to name a few. During one of her years as counsel at Fox, Horan & Camerini, Ms. Dalton worked in Italy.

In 1996, Ms. Dalton began working with the Albany firm of Hinman Straub, a large Albany law firm with a general practice. In her years at Hinman Straub, Ms. Dalton continued to work as a corporate lawyer in the health care practice area, but branched out into more a more generalized practice including estate planning and probate, real estate and pension work. Ms. Dalton has worked, and continues to work, with numerous physicians, dentists and their practices in reorganizing practice structures, admitting new partners, selling a practice and mergering with other practices.
